| Jim
O. Cross - Director |
 |
Jim has a business degree from Georgia Southwestern
College. He has been involved in the management of various manufacturing
facilities for the last 22 years. He is currently a production
manager for National Textiles. Jim was involved with the local
recreation department where he spent 10 years coaching baseball
and basketball. He is a member of the First United Methodist Church
in Clayton, Georgia and a member of the Rabun Medical Foundation.
Jim resides in Rabun Gap with his wife, Becky, and their three
children. |

W. Bill Dahlberg -- Director |

Bill serves as a board member
and chairman of Mirant Corporation. He was named Man of the Year in 1994 by
Georgia Trend Magazine and Georgias Most Respected
CEO in 1996. He received the King Centers Salute
to Greatness award in 1997. Its a long way to have
progressed from being a meter installer at Georgia Power, Dahlbergs
first position with Southern Company, which he joined in 1960.
Dahlberg worked his way through the organization while attending
college. He gained a BS in Business Administration from Georgia
State University in 1970. Throughout his career, Dahlberg held
positions at Southern Company in several areas, including customer
accounting and corporate finance, before being named vice-president
of financial services. He also served as vice-president of bulk
power resources and senior vice-president of marketing at Georgia
Power and as the senior vice president of Southern Company Services
responsible for marketing, rates, and governmental affairs. He
became president and chief executive officer of Southern Company
Services in 1985, and returned to Georgia Power three years later
as president and chief executive officer. Dahlberg became president,
chief executive officer and chairman of Southern Company in 1994.
In his spare time Dahlberg enjoys many activities, primary of which
includes playing with his six grandchildren. |
| Kay
D. Darnell - Director |

Kay was the owner of Kay Designs Custom Interiors
until she retired in 1997. Her family owns and operates Duvall
Ford Company in Clayton, Georgia. She is a graduate of Rabun County
High School and the University of Georgia. Kay has been involved
in many organizations in Rabun County, some of which include Clayton
Rotary, Chamber of Commerce, Heart Association and Clayton United
Methodist Women. Kay, a member of Clayton United Methodist Church,
lives with her husband, Stanley, in Rabun Gap, Georgia. |
| Neal
Davies - Chief Credit Officer |

Neal Davies is our Chief Credit Officer
who came to us 2 ½ years ago with a professional history
of 39 years in banking. Neal retired from Bank of America in
1996 after spending 28 years there and with a predecessor bank,
The C&S National Bank. Half of his early banking career was
spent in consumer banking and the latter half in commercial banking.
He then spent six years working for The First National Bank of
Cherokee in Woodstock, GA as Chief Credit Officer before beginning
his own consulting business. Neal is a graduate of the University
of Georgia, Terry College of Business where he also did his post-graduate
work. He attended the National School of Credit and Financial
Management at the Tuck Business School at Dartmouth College.
He is an active Presbyterian Elder and he and his wife have a
home in Tiger, GA.

Franklin - Vice President, Loan Officer |

Karen began
her banking career with Regions Bank (formerly Bank of Clayton)
in 1985. She worked in many areas of the bank including bookkeeping,
teller, loan operations, customer service, executive assistant,
and lending. Karen is a graduate of Rabun County High
School and attended Gainesville Jr. College. Karen is
a member of Battle Branch Baptist Church. Karen is a
member of the state advisory council for Rabun County High
School. She serves on several committees for the Rabun
County School System and is involved with the Rabun County
Athletic Booster Club. Karen lives in Clayton with her
husband Marty and their two daughters. |
| Danny
L. Gillespie - Director |

Danny has owned Gillespie Cabinet
Shop in Mountain City, Georgia since 1982. He is a graduate of
Rabun County High School and North Georgia Technical College.
Danny served on the Clayton City Council for six years before
being elected Mayor of Clayton in 2001. He is a member of the
St. James Episcopal Church, where he serves on the building and
grounds committee. He is a member of the Lions Club and serves
as 2nd Vice President of the North Georgia Advisory Council to
the Georgia Municipal Association. Danny lives in Clayton, Georgia.

A. Harris - Senior
Vice President and Senior Operations Officer |

Jim serves as Senior Vice President and Senior Operations
Officer of the Bank. He began his banking career in 1963 at Trust
Company of Georgia in Atlanta. In 1966 he was employed by American
National Bank in Chattanooga, Tennessee as Assistant Vice President,
Computer Operations. In 1972, he joined First National Bancorp,
Gainesville, Georgia, where he was Group Vice President and Director
of the Management Information Services Division. In 1991, Jim joined
United Community Banks, Inc. where he served as Vice President
of Bank Operations and Technology until December 2001. Most recently
Jim was employed at Rabun County Bank in Clayton, Georgia as Executive
Vice President, Bank Operations and Technology. Jim graduated from
Franklin County High School and attended Georgia State University
and the University of Tennessee. Jim is a member of Clayton Baptist
Church and a past member of the Blairsville Kiwanis Club. He and
his wife Dottie reside in Clayton, Georgia. |

Russell Ivie, Sr. - Chairman of the Board |

J.
Russell Ivie, Sr. is a native of Clayton. He graduated
from Rabun County High School in 1954 and attended Georgia Tech
graduating in 1958 with a B.S. in Industrial Management. Mr. Ivie
is also a graduate of the Georgia School of Banking and The School
of Banking of the South at Louisiana State University. His banking
career began as a Bank Examiner with the Federal Deposit Insurance
Corporation. He returned to Clayton in 1963 and was V.P. & Cashier
with Bank of Clayton until 1967. He joined Bank of Dahlonega in
Dahlonega, Georgia, and in 1969 was promoted to President. Bank
of Dahlonega grew into Century South Bank of which he was serving
as chairman of the board when the company was sold to BB&T
in 2002. Mr. Ivie is active in various organizations including:
former member of the board of Camp Glisson in Dahlonega, Board
of Foundation of North Georgia State College and University, Advisory
Director of BB&T in Dahlonega, Board of Directors of Security
Bank of North Metro in Woodstock, Georgia and Board of North Georgia
Community Foundation and various committees at Georgia Tech. He
is married to Stella Curry of Auburn, Alabama, and they have three
grown children. Mr. and Mrs. Ivie are members at Clayton First
United Methodist Church, Kingwood Country Club and Atlanta Athletic
Club. They split their time between two homes in Rabun County,
one in Clayton and the other on Lake Burton. |
| Kathleen
G. Knous - Director |

Kathleen
enjoyed a 25-year career with IBM, where she was a Partner with
the IBM consulting group, having retired in 2001. She specialized
in creating strategies and plans that ensure the strategic use
of information technology in todays business world. Kathleens
professional experience covered a wide range of fields including
manufacturing, petroleum, consumer goods, and state government.
Kathleen received her undergraduate degree from the University
of Texas-El Paso and an MBA from Emory University. Currently
she serves on the Board of Directors of the YWCA of greater Atlanta.
Kathleen lives with her husband, Kirk, in Lakemont, Georgia. |

C. McMahan - Director |

Bob has been President of Golden Point Group, Inc.,
a company that invests in small businesses since 1994. He retired
in 1994 from First Union in Decatur, Georgia (formerly Decatur
Federal) where he served as Chairman of the Board and CEO. He joined
Decatur Federal in 1969. Bob is a graduate of the University of
Tennessee and the University of Indiana Graduate School of Savings
and Loans. After retirement from banking he served as Interim President
and CEO of the Fernbank Museum in Atlanta. Currently, he serves
on the boards of Cotton States Insurance, Piedmont Community Bank,
United Commercial Bank, Integrated Solutions Group, and Greater
Atlanta Christian School. A Deacon of the Campus Church of Christ
in Atlanta, Bob and his wife, Judy, split their time between their
homes in Atlanta and Rabun County. |

Breck Patterson - Senior Vice President and Senior Loan Officer |

Breck serves as Senior Vice
President and Senior Loan Officer for the Bank. Breck served
as a Vice President of lending with Regions Bank (formerly Bank
of Clayton) in Clayton, Georgia from 1991 until he joined the
Banks organizing entity.
He was manager of loan production offices in Highlands and Cashiers,
North Carolina for the bank. Breck is a graduate of Rabun County
High School and Piedmont College. He serves on the state advisory
school council for Rabun Gap Community School. He is actively involved
with the Rabun County Recreation Department and local Little League
Association. Breck is also a member of Bettys Creek Baptist
Church, where he serves as the Treasurer for all Sunday School
classes. Breck is a resident of Rabun Gap, Georgia where he lives
with his wife, Lisa, and their two children. |

C. Poss - Director |

Ed has been in the real-estate development business
since 1969. He is the owner of Century 21 and Coldwell Banker in
Rabun County. Formerly, Ed has served on the boards of The Bank
of Clayton, First National Bank, and Regions Bank. Currently, he
serves on the Rabun Gap Nacoochee School Board of Visitors and
is a member of the local Rotary Club. Ed lives in Clayton, Georgia
with his wife, Mary-George. |

Loan Officer. |

Jerry
serves as Senior Vice President of Consumer Lending and Loan
Officer. Jerry served as Vice President of Regions Bank (formerly
Bank of Clayton) where he worked from 1974 until he joined the
Banks organizing entity. He has worked in all areas of
banking, some of which included auditing, branch management,
and lending. Jerry is a graduate of Franklin High School in Macon
County, North Carolina, The Georgia Bankers Association Audit
School, and The Georgia Banking Association Banking School. Jerry
is a member of Newman Chapel Baptist Church where he serves as
Chairman of the Board of Deacons and Finance Committee. Jerry
is a resident of Franklin, North Carolina, where he lives with
his wife, Diane. |

A
native of Rabun County, Vaughn has been employed since 1987 by
his family-owned business, Reeves Hardware Company. He manages
the Dillard, Georgia location. Vaughn is a graduate of Rabun
County High School and the University of Georgia. He is actively
involved with the local Masonic Lodge and the Clayton Rotary
Club, of which he is a past President. Vaughn is a member of
the Clayton Methodist Church, where he serves as Chairman of
the Administrative Council. Vaughn is a resident of Clayton,
Georgia, where he lives with his wife, Kim, and their two children. |
| Charles
H. "Howie" Raby - Director |

Howie is a graduate of Franklin High School and the
University of Georgia College of Pharmacy. He has worked with United
Pharmacy Services in Toccoa, Georgia for the last four years. Previously
he was with CVS in Clayton for 13 years where he was the Pharmacy
Manager and Assistant Store Manager. A member of Clayton Baptist
Church, he is actively involved with the Youth Ministry Council,
and is a Youth Sunday School Teacher. Howie is a resident of Clayton,
Georgia where he lives with his wife, Kathy and their daughter. |
| Theresa
Talley Vice President of Retail Banking |

Theresa is our Vice President
of Retail Banking. Theresa started her banking career at Macon
Bank in Franklin NC in 1986 as a teller. Since that time she
has worked in all areas of banking including Head Teller, Customer
Service, Lending, Compliance, and Training & Development.
Theresa is a graduate of Rabun County High School and the North
Carolina Bankers Association Banking School in Chapel Hill, NC.
Theresa is actively involved with various community activities
including Church, Leadership Rabun, the March of Dimes, Relay
for Life, Mentoring and the Kiwanis Club. Theresa lives in Dillard.

Jim is President and Chief Executive
Officer of the Bank. He began his banking career in 1986 when
he became Executive Vice President and Chief Financial Officer
of Decatur Federal in Decatur, Georgia. Jim directed all activities
surrounding the 1993 merger with First Union Corporation as Chairman
of the Merger Management Task Force. In 1995, he joined Provident
Bancshares Corporation in Baltimore, Maryland as Executive Vice
President-Chief Financial Officer and Treasurer. He led a team
charged with managing finance, treasury, internal audit, legal,
compliance, tax and human resources. His early career included
15 years with KPMG Peat Marwick, where he was elected partner
in 1981. Jim is currently active in the community serving as
President-elect of the Clayton Rotary Club and Treasurer of the
Rabun County Convention and Visitors Bureau. He is active on
the Boggs Mountain Humane Shelter Advisory Board and is a member
of St. James Episcopal Church. He is a CPA, a graduate of Mississippi
State University and the University Of Texas Graduate School
Of Community Banking. Jim lives in Clayton with his wife, Lynn.

F. "Biff" Wilson, Jr. - Director |

Biff
has a Masters Degree in Industrial Management from Georgia
Tech. From 1974 until retirement in 1999, he served in various
senior management capacities including Chief Operating Officer
and Vice President of Administration for Allied Holdings, Inc.
He also served as president or chairman of several subsidiary
companies including Haul Insurance, Ltd., Haul Risk Management
Services, and Axis. Biff serves on a number of boards including
DeKalb Medical Center, Inc. and Allied Holding, Inc. He is Chairman
of Rabun Medical Foundation, President of the Clayton Rotary
Club, and Chairman of the Finance Committee for Clayton Baptist
Church. Biff is also actively involved in the Burton Homeowners
Association. Biff lives in Clayton with his wife, Beverly. |
